Job Description:

As an integral team member of the Corporate Secretariat, you will be joining a dynamic group of individuals who foster an inclusive, collaborative culture while delivering exceptional services.

Job Responsibilities:

  • Performing a variety of complex and routine legal and administrative duties while coordinating and assisting senior clerks and corporate lawyers with assigned matters
  • Conducting complex corporate reviews and other related due diligence in connection with transactions; recommending and drafting ratification materials
  • Preparing corporate structure charts to accurately identify voting and participating interests
  • Preparing and filing articles and corporate documentation relating to simple and complex incorporations, amendments, continuances, amalgamations and dissolutions in addition to other complex corporate transactions, primarily under the OBCA and CBCA
  • Preparing necessary documentation related to mergers, acquisitions, financings, asset purchases and reorganizations
  • Preparing routine minute book documentation (e.g. annual meeting materials, changes to directors/officers/registered office address/ share provisions, declaration of dividends, and returns of capital, etc.) and making necessary filings

Job Requirements:

  • Law clerk diploma from a college recognized by the Institute of Law Clerks of Ontario
  • 8+ years of relevant work experience as a Law Clerk in a law firm or in-house legal department
  • A Member in good standing with the Institute of Law Clerks of Ontario
  • In depth knowledge and understanding of relevant corporate statutes
  • Excellent administrative, organizational and time management skills
